1.1 Nature of the Association of Eurasia Institutes of Certified Public/Professional Accountants and Auditors The EICPA Association (“EICPA“, “we“, “us“, or “our“) is a regional professional membership association comprising national Professional Accounting Organisations and EICPA-certified accountants and auditors operating in the Eurasian region and globally.
EICPA operates as an unregistered international association governed by a signed Memorandum of Understanding (MOU) between its member organisations. EICPA does not possess independent legal personality. All legal rights, obligations, and liabilities arising from the operation of this Website and associated digital platforms are vested in and borne by the Designated Member Organisation identified in Clause 1.2 below.
1.2 Designated Website Operator — Legal Entity Pursuant to the EICPA Memorandum of Understanding, the operation of this Website, all associated digital platforms, and the publication and enforcement of these Terms of Use have been formally delegated to and are the legal responsibility of:

1.3 EICPA Member Organisations EICPA’s membership comprises national professional accounting and auditing organisations across Eurasian states. Individual member organisations retain their own independent legal personalities, rights, and obligations under their respective national laws. Membership of EICPA does not create joint liability among member organisations except as expressly provided in the EICPA Memorandum of Understanding.

2. ACCEPTANCE OF TERMS
2.1 Binding Agreement Access to and use of this Website constitutes your unconditional acceptance of these Terms of Use (“Terms“), the EICPA Privacy Policy, and the EICPA Cookie Policy, all of which are incorporated herein by reference. These Terms constitute a legally binding agreement between you (“User“) and the Operator — Non-Commercial Partnership “Certified Professional Accountant” — acting in its capacity as Designated Website Operator on behalf of EICPA.
2.2 Capacity to Contract By using this Website, you represent and warrant that:
- (a) You are at least 18 years of age or have reached the age of legal majority in your jurisdiction;
- (b) You possess full legal capacity to enter into binding contractual agreements;
- (c) Your use of this Website does not violate any applicable law, regulation, or professional obligation;
- (d) Where you access this Website on behalf of an organisation, you have full authority to bind that organisation to these Terms.
2.3 Amendments and Updates The Operator reserves the right to amend these Terms at its sole discretion with the approval of the EICPA governing body as constituted under the MOU. Material changes will be communicated via:
- A prominent notice on the Website homepage;
- Direct notification to registered members and users via email;
- Publication of a revised version with an updated effective date.
Continued use of the Website following notification of amendments constitutes acceptance of the revised Terms.
2.4 Language These Terms are published in English as the authoritative version. Translations provided for convenience do not alter the legal meaning of the English text.
3. ANTI-SPAM AND ELECTRONIC COMMUNICATIONS POLICY
3.1 Electronic contact information published on this Website is provided exclusively for legitimate professional communication with EICPA and the Operator.
3.2 Publication of such contact details shall not be construed as consent to receive:
- Unsolicited commercial electronic messages or bulk communications;
- Automated, scripted, or bot-generated messages;
- Spam, phishing, or malicious communications of any nature.
3.3 Unauthorized use of published contact information is strictly prohibited and may constitute a violation of:

4.2 No Professional Advice Content on this Website does not constitute professional accounting, auditing, legal, financial, tax, investment, or regulatory advice. EICPA and the Operator expressly disclaim any advisory relationship arising from access to or use of Content. Users must seek independent qualified professional guidance before making any decisions based on Content herein.
4.3 Accuracy, Currency, and Completeness Neither EICPA nor the Operator warrants the accuracy, completeness, currency, or fitness for purpose of any Content. Content is subject to periodic revision and may contain technical inaccuracies or typographical errors.
4.4 User-Generated Content
- (a) The Operator reserves the right to moderate, edit, remove, or restrict any user-generated content submitted through the Website without notice and at its sole discretion.
- (b) By submitting content to the Website, Users grant the Operator a non-exclusive, royalty-free, perpetual, worldwide licence to use, reproduce, adapt, publish, translate, and display such content for operational, educational, and promotional purposes.

4.5 Permitted Use — Limited Licence Subject to these Terms, the Operator grants Users a limited, non-exclusive, non-transferable, revocable licence to access and use Content solely for personal, non-commercial, and professional development purposes.
4.6 Prohibited Use Without prior written consent of the Operator, Users must not:
- (a) Copy, reproduce, republish, upload, post, transmit, or distribute any Content;

- (c) Sell, license, sublicense, rent, or commercially exploit any Content;

5.2 Licence to Operate The Non-Commercial Partnership “Certified Professional Accountant”, as both copyright holder and Designated Website Operator, operates this Website and publishes all Content under its own intellectual property rights and pursuant to the authority granted by the EICPA Memorandum of Understanding. No separate licence from a third party is required for the Operator’s use of Content on this Website.
5.3 Trademarks and Branding The EICPA name, logo, acronym, certification marks, and all associated branding elements are trademarks held by or licenced to the Non-Commercial Partnership “Certified Professional Accountant” on behalf of EICPA Association. Unauthorized use of EICPA trademarks is strictly prohibited under applicable national and international trademark law, including the Madrid System for International Registration of Marks (WIPO).
5.4 Permitted Reproduction Users may download and print Content solely for personal, non-commercial use, provided that:
- Content is reproduced in its entirety without modification;
- Full attribution to EICPA Association / Non-Commercial Partnership “Certified Professional Accountant” is clearly maintained;
- No commercial benefit is derived from such reproduction;

5.5 Permissions and Licensing Requests Any reproduction, adaptation, republication, or distribution of Content requires prior written authorization from the Operator. 5.6 AI-Assisted Content In accordance with WIPO’s AI and IP Policy Framework (2024) and USPTO AI Content Guidance (2024), Content produced with AI assistance remains the intellectual property of the Operator where the Operator has exercised sufficient creative direction, editorial control, and human oversight in its production.
5.7 Third-Party Intellectual Property Certain Content may be owned by third parties and published under licence or with permission. Users are solely responsible for independently verifying and complying with applicable third-party intellectual property rights before reproducing or distributing such Content.
5.8 Content Contributed by Member Organisations Content contributed to this Website by EICPA member organisations other than the Operator is published under a licence granted to the Operator by the contributing member organisation. Such contributing member organisations retain ownership of their respective contributed content. Users must not reproduce or distribute contributed content without the consent of both the Operator and the originating member organisation.

- Neither EICPA nor the Operator is liable for technical failures or service interruptions attributable to third-party platform providers.
6.4 Social Media Platforms EICPA maintains official profiles on various social media platforms. Interactions on such platforms are subject to the terms and privacy policies of those platforms. EICPA’s official social media channels are the only authorized channels for EICPA social media communications.

7.3 GDPR Compliance — EU/EEA Users For Users located in the European Union or European Economic Area, the Operator processes personal data in accordance with:
- GDPR Regulation (EU) 2016/679 — Articles 5, 6, 7, 13, 14, 17, 20, and 21;

7.4 Eurasian Data Protection Compliance For Users located within EAEU member states, the Operator complies with applicable national data protection legislation, including:
- Kazakhstan Law on Personal Data and its Protection (2013, as amended);
- Belarus Law on Personal Data Protection (2021);
- Equivalent legislation in Armenia and Kyrgyzstan.

9.1 To the fullest extent permitted by applicable law, this Website and all Content are provided on an “as is” and “as available” basis without warranties of any kind, either express or implied, including but not limited to:

- Warranties that the Website will be uninterrupted, error-free, or free from viruses;

9.2 Member Organisation Liability EICPA member organisations other than the Operator bear no liability to Website Users arising from the operation of this Website, the Content published herein, or these Terms. All such liability is exclusively that of the Operator — Non-Commercial Partnership “Certified Professional Accountant”.
10. LIMITATION OF LIABILITY
10.1 To the fullest extent permitted by applicable law, neither EICPA, the Operator, their officers, directors, employees, members, agents, nor licensors shall be liable for any:
- (a) Direct loss — including loss of income, revenue, or anticipated savings;
- (b) Indirect or consequential loss — including loss of business, contracts, or goodwill;
- (c) Data loss — including corruption or destruction of data or systems;
- (d) Professional loss — including loss of professional opportunity, certification, or reputation;
- (e) Third-party claims — arising from the User’s use of this Website or its Content.
10.2 Statutory Rights Where applicable legislation implies a warranty or right that cannot be lawfully excluded, the Operator’s liability shall be limited, at its election, to:
- (a) The re-supply of the relevant service or information; or
- (b) The reasonable cost of having the service or information re-supplied.
10.3 Force Majeure Neither EICPA nor the Operator shall be liable for any failure or delay in performance arising from circumstances beyond reasonable control, including natural disasters, cyberattacks, government actions, telecommunications failures, or pandemic-related disruptions.
11. INDEMNIFICATION
11.1 Users agree to indemnify, defend, and hold harmless EICPA, the Operator, and their respective officers, directors, employees, members, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from:
- (a) Your use of or access to this Website;
- (b) Your violation of these Terms;
- (c) Your infringement of any intellectual property or other rights of any third party;
- (d) Any content you submit, post, or transmit through the Website.
12. SECURITY AND INFORMATION SYSTEMS
12.1 The Operator implements appropriate technical and organizational security measures in accordance with:
- ISO/IEC 27001:2022 — Information Security Management Systems;
- Russian Federal Law No. 149-FZ — On Information, Information Technologies and Information Protection;
- Russian Federal Law No. 187-FZ — On Security of Critical Information Infrastructure.
12.2 Users are prohibited from:

- Conducting penetration testing or vulnerability scanning without written authorization;
- Introducing malicious code, viruses, or disruptive technologies.

PART G — GOVERNING LAW AND DISPUTE RESOLUTION
13. GOVERNING LAW
13.1 These Terms shall be governed by and construed in accordance with the laws of the Russian Federation, being the jurisdiction of registration of the Operator — Non-Commercial Partnership “Certified Professional Accountant”.
13.2 For Users located in other jurisdictions, applicable mandatory consumer protection and data protection laws of the User’s jurisdiction may take precedence over this governing law clause in accordance with internationally recognized conflict-of-laws principles.
13.3 For Users located in European Union member states, mandatory provisions of EU law — including GDPR and the European Accessibility Act — apply concurrently with Russian law to the extent required by applicable EU legislation.
14. DISPUTE RESOLUTION
14.1 Good-Faith Negotiation — Primary Mechanism In the event of any dispute, claim, or controversy arising from or in connection with these Terms or use of this Website, the parties shall first attempt resolution through good-faith negotiation within 30 calendar days from written notice of the dispute submitted to gro.apcie@lagel.
14.2 Mediation If good-faith negotiation fails, the parties shall engage a mutually agreed independent mediator for structured mediation proceedings, to be completed within 60 calendar days.
14.3 Arbitration If mediation is unsuccessful, disputes shall be finally resolved by binding arbitration conducted in accordance with the UNCITRAL Arbitration Rules (2021). The arbitral tribunal shall consist of one arbitrator unless complexity warrants three. The language of arbitration shall be English. The seat of arbitration shall be mutually agreed by the parties.
14.4 Russian Federation Courts Notwithstanding the above, disputes involving Russian Federation law exclusively may be submitted to the competent courts of the Russian Federation at the election of the Operator.
14.5 Interim Relief Either party may seek urgent interim or injunctive relief from a court of competent jurisdiction without prejudice to the arbitration process.
PART H — GENERAL LEGAL PROVISIONS
15. SEVERABILITY
If any provision of these Terms is found to be invalid, unlawful, void, or unenforceable, such provision shall be severed from the remaining Terms. The remaining provisions shall continue in full force and effect.
16. WAIVER
No failure or delay by the Operator in exercising any right, power, or remedy under these Terms shall operate as a waiver thereof. A waiver of any breach shall not constitute a waiver of any subsequent breach.
17. ENTIRE AGREEMENT
These Terms, together with the EICPA Privacy Policy, Cookie Policy, and Accessibility Statement, constitute the entire agreement between the Operator and the User with respect to use of this Website and supersede all prior agreements and understandings relating to the same subject matter.
18. ASSIGNMENT
The Operator reserves the right to assign or transfer its rights and obligations under these Terms to any successor organisation, affiliate, or entity resulting from a merger, acquisition, or restructuring, subject to approval under the EICPA Memorandum of Understanding. Users may not assign their rights or obligations under these Terms without the Operator’s prior written consent.
